Greenebaum's experienced Bankruptcy and Workout team offers a wide range of professional skills to debtors, debtors in possession, creditors of troubled customers and clients, creditors’ committees, potential acquirers, investors and turnaround professionals in matters involving financially troubled individuals and business entities.
Our team, headed by incoming American Bankruptcy Institute President John Ames, includes Fellows of the American College of Bankruptcy, board members of the American Bankruptcy Institute, as well as other professionals with significant experience in debtor/creditor matters, including workouts, restructurings and insolvencies both inside and outside of bankruptcy. We routinely handle matters involving:
* Representation of debtors as general and special counsel in Chapter 11 proceedings.
* Representation of creditors’ committees in Chapter 11 proceedings.
* Corporate restructuring and non-bankruptcy insolvency actions.
* Out-of-court workouts and plans of reorganization.
* Advising lenders and creditors concerning financially troubled debtors.
* Fiduciary duties and conflict of interest issues in managing troubled companies.
* Purchasing and selling assets in bankruptcy cases and other insolvency proceedings.

* Negotiating, structuring and documenting debtor-in-possession financing arrangements.
* Representing debtors, creditors’ committees, potential purchases and creditors in environmental matters related to financially distressed companies and their properties.
* Handling complex “safe harbor†contracts and derivatives.
* Litigating avoidance actions (i.e., preference and fraudulent conveyance matters) and disputes regarding lender liability and/or equitable subordination of claims.
* Litigating appointment of trustees and/or conversion of Chapter 11 cases to Chapter 7 cases.
* Litigating the validity, perfection, priority and enforcement of security interests.
* Liquidation and going-out-of-business sales.
* Representing Chapter 11 and Chapter 7 Trustees.
* Advising owners, officers and directors of their obligations and duties involving financially troubled entities.
* Representing and advising professionals in bankruptcy retention, representation and fee applications.
In addition, our team draws upon and benefits from the experience of the firm’s lawyers in numerous other areas including securities, transactional, tax and partnership, finance, litigation, environmental law, labor and other practice areas. This practical and successful team-based approach to solving problems that arise in troubled businesses allows us to address the numerous issues arising in restructuring the assets and liabilities of troubled businesses and protecting clients dealing with troubled companies.
